Farside Designz LLC (“Company,” “we,” “us,” or “our”) is a registered limited liability company operating from Tucson, Arizona. These Terms of Service (“Terms”) govern your access to and use of our website at https://farsidedesignz.com/ (the “Site”) and any design, development, or related services (“Services”) we provide.
By accessing our Site or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Site or Services.
1. Eligibility
You must be at least 18 years old or the age of majority in your jurisdiction to use our Services. By agreeing to these Terms, you represent that you have the legal capacity to enter into a binding agreement.
2. Our Services
Farside Designz LLC provides graphic design, web design, branding, and related creative services. Specific terms for each project (scope, timeline, fees, deliverables) will be outlined in a separate Service Agreement, Proposal, or Invoice provided to you. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement shall control.
3. Client Responsibilities
You agree to:
Provide accurate, complete, and lawful information and materials needed for us to perform the Services.
Obtain all necessary permissions, licenses, or approvals for any content you provide (e.g., logos, text, images).
Respond promptly to our requests for feedback, approvals, or information. Delays may affect project timelines and we are not liable for resulting delays.
4. Fees and Payment
Fees: All fees are quoted in U.S. Dollars ($) unless otherwise stated. We may require a deposit (typically 50%) before commencing work.
Invoicing: Invoices are due within the time period stated (e.g., net 15 days). Late payments may accrue interest at the rate of 1.5% per month (or the maximum allowed by Arizona law) and you agree to pay all collection costs.
Taxes: You are responsible for any applicable sales, use, or other taxes related to the Services, except taxes based on our net income. For Tucson/Pima County projects, applicable local transaction privilege taxes may apply.
5. Intellectual Property Rights
Our Ownership: We retain ownership of all preliminary designs, concepts, source files, and any proprietary tools or code we use (unless we explicitly assign them to you in writing).
Your Ownership: Upon full payment, we assign to you the final deliverables (e.g., logo files, website templates) as described in your Service Agreement. We may retain the right to display the work in our portfolio.
Third-Party Materials: Any fonts, stock photos, or plugins used may be subject to separate licenses. You agree to abide by those licenses.
6. Cancellation and Refunds
Client Cancellation: You may cancel a project by providing written notice. You will be invoiced for all work completed up to the cancellation date, plus any non-recoverable costs incurred. Deposits are generally non-refundable unless otherwise agreed.
Refund Policy: Because design services are custom and intellectual in nature, all sales are final once work has commenced. No refunds will be issued for completed deliverables. Disputes about quality or scope will be resolved under the dispute resolution section below.
Our Right to Terminate: We may terminate these Terms or a specific Service Agreement if you breach any material term (e.g., non-payment) and fail to cure within 10 days of notice.
7. Disclaimer of Warranties
To the fullest extent permitted by Arizona law, our Services and Site are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Site will be uninterrupted or error-free.
We do not guarantee that our designs will increase your sales, traffic, or business performance.
8. Limitation of Liability
To the maximum extent permitted by the laws of the State of Arizona, Farside Designz LLC and its members, managers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or business opportunity) arising out of or related to your use of our Site or Services, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claim arising from these Terms or our Services shall not exceed the total fees paid by you to us in the six (6) months preceding the claim. Some jurisdictions do not allow limitations on consequential damages, so this limitation may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless Farside Designz LLC and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
Your breach of these Terms or any Service Agreement.
Your violation of any applicable law or third-party rights (e.g., copyright infringement from content you provide).
Any dispute between you and your end-users or other third parties.
10. Governing Law and Dispute Resolution
Governing Law: These Terms and any Service Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of laws principles.
Venue: Any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Pima County, Arizona (Tucson) . You consent to personal jurisdiction and venue in those courts.
Informal Resolution: Before filing a lawsuit, we each agree to try to resolve any dispute through good-faith negotiations. If not resolved within 30 days, either party may initiate mediation in Tucson, AZ, before resorting to litigation. Mediation costs shall be shared equally.
Small Claims: Either party may bring an individual action in the small claims court of Pima County, Arizona, without prior mediation.
11. Force Majeure
We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including natural disasters, government actions, internet outages, power failures, or supplier delays.
12. Entire Agreement
These Terms, together with any signed Service Agreement, Proposal, or Invoice, constitute the entire agreement between you and Farside Designz LLC regarding the subject matter hereof and supersede all prior agreements, whether written or oral.
13. Amendments
We may revise these Terms from time to time. The updated version will be posted on this Site with the “Last Updated” date. Your continued use of the Site or Services after any changes constitutes your acceptance of the new Terms. Material changes will be notified via a prominent notice on the Site.
